Acceptance of Terms

These Terms of Use ("Terms") are a legally binding agreement between you, whether personally or on behalf of an entity ("you," "your," or "user"), and Idle Logic Pte. Ltd. ("Idle," "we," "us," or "our"), governing your access to and use of the website located at www.idle.sg, including any of our affiliated websites, subdomains, mobile sites, mobile applications, and all services, features, content, and functionalities associated with it (collectively, the "Site").

By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms, and you represent and warrant that you have the legal capacity and authority to enter into these Terms on behalf of yourself or the entity you represent. If you do not agree to these Terms, you must not access or use the Site.

Idle provides a range of services through the Site, including but not limited to online business and appointment management software, payment processing, booking systems, and associated functionalities (collectively, the "Idle Services"). Your use of Idle Services may be subject to additional terms and conditions outlined in our Terms of Service or any other agreement you may enter into with us.

Modifications to the Terms

We reserve the right to revise these Terms at any time in our sole discretion. We will notify you of changes by updating the "Effective Date" above and posting the revised Terms on the Site. You are responsible for reviewing the Terms periodically. Your continued use of the Site after such modifications will constitute your acceptance of the modified Terms.

Accounts and Registration

To access certain features of the Site or Idle Services, you may be required to create an account. You agree to: (a) provide accurate, current, and complete account information; (b) maintain the security of your login credentials and not share them with others; (c) promptly update your account information as necessary; and (d) notify us immediately of any unauthorized access or security breach.

Each user may only register and maintain one account, and you agree not to create an account on behalf of another person or entity without proper authorization. You are responsible for all activities that occur under your account.

Idle may suspend or terminate your account at any time if we determine, in our sole discretion, that you have violated these Terms or otherwise engaged in any fraudulent, abusive, or unlawful activity.

License and Access

Subject to your compliance with these Terms, Idle grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and Idle Services solely for your own personal or internal business use, and not for any commercial exploitation.

• license, sell, rent, lease, transfer, assign, distribute, host, or otherwise commercially exploit the Site or any part thereof;
• modify, reverse engineer, decompile, disassemble, or create derivative works based on any part of the Site;
• access the Site for purposes of developing or building a competitive service or product;
• remove or obscure any proprietary notices on the Site or related content.

All rights not expressly granted herein are reserved by Idle and its licensors.

Ownership of the Site and Intellectual Property

The Site and its entire contents, features, and functionality, including but not limited to all information, text, graphics, images, logos, audio, video, data, software, and other materials ("Content") are the exclusive property of Idle or its licensors, and are protected by Singapore and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Except as expressly stated herein, no right, title, or interest in or to the Site or any Content is transferred to you. Any unauthorized use of the Site or Content will violate these Terms and may violate applicable laws.

User Content

"User Content" means all content, materials, data, or information that you upload, submit, transmit, post, or otherwise make available through the Site.

You are solely responsible for your User Content and for ensuring it complies with applicable laws and these Terms. You represent and warrant that you own or have the necessary rights and licenses to submit the User Content and that such content does not infringe any third party’s rights.

By submitting User Content, you grant Idle a worldwide, non-exclusive, royalty-free, transferable, sublicensable, perpetual license to use, reproduce, modify, publish, distribute, display, and perform the User Content in connection with providing and promoting the Site and Idle Services.

Idle has the right, but not the obligation, to monitor, remove, or edit any User Content at its discretion.

Prohibited Conduct

You agree not to use the Site to:

• violate any applicable law or regulation;
• infringe the rights of any third party, including intellectual property, privacy, or contractual rights;
• upload or transmit viruses, malware, or other harmful software;
• send spam, unsolicited messages, or phishing schemes;
• engage in harassing, defamatory, abusive, threatening, or obscene behavior;
• impersonate another person or entity;
• interfere with the operation or security of the Site or Idle Services;
• scrape or collect information without authorization;
• gain unauthorized access to any systems or data.

We reserve the right to investigate and take legal action against violations of this section.

Privacy

Your use of the Site is subject to our Privacy Policy at www.idle.sg/privacy, which is incorporated by reference into these Terms. Please review our Privacy Policy carefully for information about our data collection, use, and sharing practices.

Feedback

If you choose to provide us with any suggestions, comments, or feedback about the Site or Idle Services ("Feedback"), you agree that such Feedback is not confidential and becomes the sole property of Idle. We may use and exploit the Feedback for any purpose without obligation or compensation to you.

Disclaimers and Limitation of Liability

THE SITE AND ALL CONTENT, MATERIALS, SERVICES, AND FEATURES AVAILABLE THROUGH IT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IDLE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL IDLE, ITS DIRECTORS, EMPLOYEES, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SITE.

YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE SITE IS TO STOP USING IT.

Indemnification

You agree to defend, indemnify, and hold harmless Idle, its affiliates, officers, directors, employees, licensors, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal and accounting fees, arising out of or in any way connected with: (a) your use or misuse of the Site or Idle Services; (b) your User Content; (c) your violation of these Terms; (d) your violation of any rights of a third party. Idle reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of laws provisions.

Any disputes arising from or relating to these Terms or your use of the Site shall first be resolved through good-faith negotiations. If unresolved within thirty (30) days, the parties agree to submit the dispute to mediation in Singapore. If mediation fails, the parties may pursue any available legal remedy.

Any claim arising from these Terms must be filed within one (1) year after the cause of action arises, or it will be forever barred.

Geographic Restrictions

Idle is based in Singapore and does not represent that the Site or Idle Services are appropriate or available in other locations. If you access the Site from outside Singapore, you do so on your own initiative and are responsible for compliance with local laws.

Entire Agreement

These Terms, together with our Privacy Policy and Terms of Service, constitute the entire agreement between you and Idle regarding the Site and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions will remain in full force and effect.

You may not assign or transfer these Terms without our prior written consent. Idle may assign these Terms without restriction.
