These Terms of Use ("Terms") govern your access to and use of www.idle.sg (the "Site"), all associated subdomains, web applications, mobile applications, and any tools, services, or features operated by Idle Logic Pte. Ltd. ("Idle", "we", "us", or "our").

Idle Logic Pte. Ltd. is a company incorporated in Singapore with UEN 202443308R and a registered business address in Singapore.

By accessing or using our Website or Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must stop using the Platform immediately.

These Terms apply only to your use of our Site and Platform. If you make bookings, purchases, or use services offered by third-party businesses (our "Partners"), those are governed separately by our Terms of Service and the Partner's own policies.

About Idle

Idle provides a digital platform that enables businesses, such as salons, barbershops, spas, and service providers, to manage operations, view analytics, track appointments, manage staff schedules, and access future AI-powered features (the "Platform").

Idle does not provide salon services itself. Partner services available on the Platform are delivered by independent third-party businesses.

Changes to These Terms

We may update these Terms from time to time. Updates will be posted on this page, and the "Last Updated" date will change.

Your continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.

Eligibility & Age Requirements

To use Idle:

• You must be at least 18 years old, or the age of majority in your jurisdiction.
• If you are under 18, you may only use the Platform with the consent and supervision of a parent or legal guardian.
• If you are a parent/guardian, you are responsible for your child's use of the Platform.

Accounts, Security & Responsibility

You may access parts of the Website without creating an account, but Idle's booking software for beauty businesses requires a registered Idle account.

By creating an account, you agree to:

• Provide accurate, complete, and up-to-date information
• Keep your login credentials confidential
• Do not allow others to use your account
• Notify us immediately of any unauthorised access
• Be responsible for all activities under your account

Idle may suspend or terminate accounts that:

• Use false or misleading information
• Violate these Terms
• Engage in fraudulent, abusive, or harmful behaviour
• Pose security risks to the Platform or other users

Each individual may maintain only one personal account unless approved by Idle.

Proper Use of Platform

Idle may release new tools or features over time. Access to new modules may require separate permissions, subscriptions, or onboarding. Using future features may be governed by additional agreements, which will be provided if applicable.

You may use the Platform for:

• Managing or accessing your business profile (if you are a Partner)
• Viewing analytics, schedules, appointments, revenue dashboards, and business operations
• Managing staff, catalogues, and bookings
• Using features such as our dashboard, WhatsApp Agent (upcoming feature), and the upcoming AI tool
• Personal and lawful use only

You may view, download, and print pages from the Site for your own legitimate business use.

Improper Use of Platform

You must NOT:

• Use the Platform for unlawful, fraudulent, or harmful purposes
• Copy, reproduce, modify, or redistribute any part of the Site or Platform without permission
• Interfere with the Site's security, integrity, servers, or hosting
• Attempt to reverse-engineer, decompile, or extract source code
• Use scraping, crawling, indexing, bots, automation, or similar tools
• Upload viruses, malware, trojans, worms, or harmful code
• Create competing products using Idle's ideas, design, UI, features, or data
• Misuse any user data accessible through the Platform
• Upload or share unlawful, defamatory, obscene, threatening, misleading, or infringing content
• Impersonate another person or business
• Misrepresent your relationship with Idle

Idle reserves the right to investigate and take action (including termination or referral to authorities) if these rules are violated.

User Content

Idle may allow you to upload information, business details, service descriptions, staff data, schedules, pricing, images, or other content ("User Content").

You are solely responsible for User Content.

You must not upload content that:

• Infringes intellectual property rights
• Contains prohibited, illegal, harmful, abusive, or defamatory material
• Violates privacy or confidentiality obligations
• Contains misleading or deceptive statements
• Includes unauthorised promotions, advertisements, or spam

By uploading content, you grant Idle:

A worldwide, non-exclusive, royalty-free, transferable licence to host, use, and distribute your User Content as needed to operate and improve the Platform.

We may remove or restrict content that violates these Terms.

Intellectual Property

Everything on the Site and Platform, including design, UI/UX, code, software, features, dashboards, graphics, analytics layout, trademarks, and brand elements, is owned solely by Idle or our licensors.

You must not:

• Copy, modify, reproduce, distribute, or create derivative works
• Use any Idle marks, logos, assets, or materials without written permission

These Terms do not grant you ownership of any part of the Platform.

Privacy

Your use of Idle is governed by our Privacy Policy, which explains how we collect, use, store, and protect your personal data.

Idle complies with Singapore's PDPA (Personal Data Protection Act 2012).

Platform Availability & Access

Idle may introduce additional features, upgrades, or modules over time. Optional or future features will be subject to separate terms, availability, and pricing when released.

We aim to keep the Platform accessible, but we do not guarantee:

• uninterrupted access
• error-free operation
• secure or virus-free files
• that all features will always be available

We may suspend or restrict access for maintenance, upgrades, security reasons, or operational needs.

Idle is not liable for any unavailability.

Third-Party Links & Integrations

Idle may contain links to third-party websites, apps, or integrations (e.g., WhatsApp, payment processors, AI tools).

We do not control or endorse these third-party services and are not responsible for:

• their content
• their availability
• their privacy practices
• any loss or damage arising from their use

Use them at your own risk.

Disclaimers

To the fullest extent permitted by Singapore law:

Idle is provided on an "as is" and "as available" basis

• We make no warranties regarding accuracy, reliability, completeness, or fitness for purpose
• We are not responsible for Partner services or third-party actions
• Idle does not guarantee revenue, appointment volume, business outcomes, or performance

You use the Platform at your own risk.

Limitation of Liability

To the maximum extent permitted by law:

Idle is not liable for:

• loss of profits, revenue, business, customers, data, goodwill, anticipated savings, or business opportunity
• loss, damage, injury, or claims arising out of or relating to any Partner services, including any appointment, product, or interaction between you and a Partner
• indirect, incidental, special, punitive, exemplary, economic, or consequential losses of any kind
• loss resulting from downtime, interruptions, delays, suspension, maintenance, updates, or unavailability of the Platform
• loss due to viruses, malware, cyber attacks, unauthorised access, or security breaches
• loss arising from inaccurate, incomplete, misleading, or outdated information displayed on the Platform
• errors, bugs, defects, delays, or failures in the operation of the Platform or any connected services
• loss resulting from actions, omissions, or negligence of Partners, contractors, service providers, or any third party
• loss caused by unauthorised access to your account, whether or not caused by your failure to secure your credentials
• loss arising from integrations or third-party systems (including WhatsApp, payments, AI agents, or external APIs)

Idle's total liability is limited to the greater of:

• SGD $50, or
• The total amount you paid Idle in the last three (3) months preceding the event giving rise to the claim

Nothing in these Terms limits liability for death, personal injury, fraud, or any liability that cannot legally be limited.

Termination

Idle may suspend or terminate your account immediately if:

• You violate these Terms
• You misuse the Platform
• You engage in fraudulent, abusive, or harmful activity
• Your actions pose a risk to us, Partners, or other users

You may stop using Idle at any time.

Termination does not remove responsibilities that reasonably continue (e.g., unpaid fees owed to Idle or Partners).

Governing Law & Dispute Resolution

These Terms are governed by the laws of Singapore.

Any disputes shall be resolved as follows:

Geographic Restrictions

Idle is operated from Singapore. Features, services, or integrations may not be available in all countries.

You are responsible for complying with local laws when accessing the Platform internationally.
