Introduction
Welcome to Idle Logic Pte. Ltd. (referred to as "Idle", "we", "us", or "our"). These Terms of Service ("Terms") govern your use of www.idle.sg, the Idle web platform, and any connected software tools, features, or services we provide (collectively, the "Services").
Idle offers an all-in-one business management platform for salons, barbershops, spas, and other service-based businesses, featuring scheduling tools, customer management, point-of-sale functions, staff management, analytics, and additional operational features. Idle does not provide beauty or wellness services itself; instead, we offer digital tools that help businesses manage their operations.
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you must stop using the Services immediately.
Definitions
When used in these Terms:
- "Client" / "You": A business or end user who uses Idle's platform.
- "Business Account": An account registered by a salon, barbershop, spa, or other organisation on Idle.
- "Users": Individuals authorised by a Business Account owner to access Idle (e.g., staff members, managers, administrators).
- "Idle Platform": www.idle.sg, dashboard, our software system, databases, and any features we provide.
- "Partner Services": Services provided by the business (e.g., haircut, manicure), not by Idle.
- "Bookings": Appointments made using Idle's scheduling tools.
- "Content": Any data uploaded to the Idle Platform, including staff profiles, images, service lists, pricing, and customer details.
- "Payment Processor": Third-party payment providers that businesses connect to Idle.
About Idle
Idle is a SaaS (software-as-a-service) platform that helps businesses manage operations. Idle is not a marketplace and does not act as an agent for businesses. Businesses fully control:
- Their services
- Their pricing
- Their booking policies
- Their customer relationships and data ownership
- Their compliance with local regulations
Idle only provides the software infrastructure.
Idle is not responsible for the quality, safety, legality, or fulfilment of any services businesses offer.
Creating an Account
To use our Services, you must create an Idle Account and provide accurate information, including:
- Business name
- Contact information
- Staff information (if relevant)
- Payment details (for subscription payments)
You agree to:
- Keep your login credentials secure
- Ensure all information is accurate and up to date
- Ensure only authorized Users have access
- Accept full responsibility for actions taken through your account
Idle may refuse, suspend, or terminate accounts that violate these Terms.
Your Responsibilities
You agree not to use Idle to:
- Break local laws or regulations
- Process fraudulent or misleading bookings or payments
- Upload harmful, illegal, or copyrighted materials without permission
- Harass, abuse, or defame customers, staff, or other businesses
- Interfere with platform functionality
- Use automated tools (bots, scrapers) without permission
- Misrepresent your business or services
Idle may suspend or terminate accounts that abuse the platform or harm other users.
Appointment, Booking & Business Operations
Idle provides booking and scheduling tools, but does not:
- Guarantee availability
- Confirm appointment accuracy
- Mediate disputes between customers and businesses
- Set service policies, prices, or cancellation terms
Businesses alone are responsible for:
- Setting cancellation/no-show policies
- Managing customer communication
- Handling refunds, disputes, and service outcomes
Idle is not a party to any contract between businesses and their customers.
Payment Processing & Subscription Fees
Idle may charge subscription fees for premium platform features.
Subscription Billing
By subscribing to paid plans, you authorise Idle to:
- Store payment information
- Automatically bill you at renewal cycles
- Generate invoices and receipts
Subscription fees are non-refundable unless otherwise required by law.
Third-Party Payment Providers
Businesses may integrate Stripe or other processors to accept payments from their customers. Idle does not store full card details or process payments directly.
Payment disputes must be handled with the payment processor, not Idle.
Idle is not responsible for:
- Chargebacks
- Failed transactions
- Processing delays
- Errors caused by third-party platforms
Data Ownership & Privacy
Business Data
All business content (service lists, pricing, product data, staff schedules, etc.) remains owned by the business.
Customer Data
Businesses own their customer records and are responsible for complying with local privacy laws, such as:
- PDPA (Singapore)
- GDPR (EU/UK), if applicable
- Any local standards for handling personal data
Idle will never sell customer data.
Idle's Use of Data
Idle may process aggregated, anonymised data to:
- Improve platform features
- Provide analytics
- Detect fraud
- Ensure system security

Feature Changes
Idle may add, remove, modify, or restrict features from time to time. Some features may be released in beta and may have limited availability. Feature access and pricing may change as the platform evolves.
Platform Availability & Updates
Idle strives to provide a stable, secure, and available platform, but we do not guarantee:
- Continuous, uninterrupted access
- Zero downtime
- Zero bugs or service disruptions
We may suspend access temporarily for:
- Maintenance
- Security upgrades
- Performance improvements
- Emergency fixes
We may update, modify, or remove features at any time.
Intellectual Property
Idle owns all rights to:
- Software
- Platform architecture
- UI/UX design
- Logos, trademarks, and branding
- Platform content created by Idle
You may use the platform only as allowed by these Terms.
You may not:
- Copy or reverse-engineer the platform
- Resell Idle's software
- Claim Idle's IP as your own
- Create derivative works based on Idle
Suspension or Termination
Idle may suspend or terminate your account for reasons such as:
- Repeated late or failed subscription payments
- Abuse of the platform
- Security threats
- Fraudulent activity
- Violations of these Terms
- Harassment or abusive behaviour toward Idle staff
You may cancel at any time through your account settings.
Liability Disclaimer
To the fullest extent permitted by Singapore law:
Idle is not liable for:
- Loss of revenue, profits, customers, or goodwill
- Business interruption
- Service downtime
- Incorrect appointments or scheduling errors caused by the staff of your business
- Loss or corruption of data
- Actions of your staff or customers
- Services you provide through your business
Idle provides the platform as-is, without warranties of any kind.
Our total liability to you will not exceed the total subscription fees paid in the past 12 months.
Indemnification
You agree to indemnify and hold Idle harmless from claims arising out of:
- Your use of the platform
- Your handling of customer data
- Violations of laws or regulations
- Intellectual property infringement
- Your interactions with your customers
- Misuse of Idle by anyone using your account
Governing Law
These Terms are governed by the laws of Singapore. Any disputes will be resolved exclusively by the courts of Singapore.
Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you through:
- Platform alert
- Banner or Pop-up notice on www.idle.sg
Your continued use of the platform constitutes acceptance of the updated Terms.
